Can I use Superior Intellect to:
1. steal and use Combat Vessel Variant if my ship is not a Suurok Class ship?
2. steal and use Combat Vessel Variant if my ship is already equipped with Combat Vesset Variant?

Yes you may steal the Combat Vessel Variant if your ship is not a Suurok Class ship and if your ship is already equipped with a Combat Vessel Variant.
But, if a card is only able to be purchased for a particular ship or ship class, its abilities can only work for that particular ship or class of ship. So you could steal it with Superior Intellect, but you would have to discard it because you could not use its text abilities.
The stat adjustments from a resource such as Flagship Cards are permanent and stay with the ship, but stats from an Upgrade are not unless otherwise stated on the card. So if the above ship lost this Upgrade, it would lose the +1 PW and Hull. If this would cause the number of damage cards assigned to it to equal the Hull value, the ship would be destroyed.

Also, Superior Intellect reads:
Action: Discard this card to target a ship at Range 1-2 that is not Cloaked and has no Active Shields. Steal 1 faceup Upgrade Card of your choice from that ship, even if the Upgrade exceeds your ship's restriction.

So, in this particular case, wouldn't the ship be able to keep the Upgrade?

No, Superior Intellect would allow you to exceed your ship's restrictions. But, it does not allow you to exceed the Upgrades restrictions on where it may be deployed.

Would stolen and discarded upgrades go beneath the owner's ship card for purposes of counting fleet points or are these not counted?

Clarification request:
The two "Combat Vessel Variant" cards are phrased slightly differently.
The OP Prize one reads "...This Upgrade may only be purchased for a Suurok Class ship"
The Ni'Var Expansion one reads "...You can not deploy more than 1 'Combat Vessel Variant' [tech] upgrade to any ship".

With that phrasing difference, would I be correct that Superior Intellect COULD steal AND deploy the OP "Combat Vessel Variant" and that Superior Intellect could steal but not deploy (would be discarded) the Ni'Var "Combat Vessel Variant"? As the OP Prize one only has a purchase restriction and the Ni'Var has a deployment restriction?

Stolen and discarded cards would be counted as destroyed in the battle.

The OP Prize "Combat Vessel Variant" would be discarded if it was not stolen by a Suurok Class Ship.
The Ni'Var Expansion "Combat Vessel Variant" would be discarded f it was not stolen by a Suurok Class Ship OR if the ship already has a "Combat Vessel Variant" upgrade on it.

Does this mean that cards like "Dorsal Phaser Array" would also be discarded if assimilated or stolen via Superior Intellect from a non-federation ship with a hull value of 4 or greater as DPA states: "... this upgrade may only be purchased for a Federation ship with a Hull Value of 4 or greater..." . For example if it was assimilated or stolen by a Soong, could it use it or would it need to discard it?

Yes, any card that has requirements printed on it would be discarded if stolen or assimilated by a ship that does not match those requirements.
