Superior Intellect
Action: Discard this card to target a ship at Range 1-2 that is not Cloaked and has no Active Shields. Steal 1 faceup Upgrade Card of your choice from that ship, even if the Upgrade exceeds your ship's restrictions.

What does Superior Intellect allow you to do when you steal? What does "even if the Upgrade exceeds your ship's restrictions" mean you can do?

Steal is a game term used in card text that allows you to take a faceup card from an opponent’s ship and redeploy it to your ship, even if your ship does not have unused icons or does not have the correct icons on your ship’s Upgrade Bar.

The statement “even if the Upgrade exceeds …” that follows the term steal indicates that you may steal even if your ship does not have unfilled icons or does not have the correct icon on your ship’s Upgrade Bar.

Examples:

-Ship A uses Superior Intellect to target the High Energy Sweep on Ship B. Ship A may steal and redeploy High Energy Sweep to itself even if there is not an unused [Tech] icon on the ship’s Upgrade Bar.

Superior Intellect [Talent]
Action: Discard this card to target a ship at Range 1-2 that is not Cloaked and has no Active Shields. Steal 1 faceup Upgrade Card of your choice from that ship, even if the Upgrade exceeds your ship's restrictions.

High Energy Sweep [Tech]
After you move, you may disable 1 Active Shield to perform a free [Scan] Action.

-Ship A Uses Borg Assimilation Tubules to Steal the Ablative Generator from Ship B. Ship A may take the Ablative Generator from Ship B, but the statement “even if the Upgrade exceeds …” does not allow Ship A to deploy the Ablative Generator without considering the Ablative Generator upgrade’s restrictions. Ship A must then discard the Ablative Generator immediately.

Ablative Generator [Tech]
ACTION: Place or remove the Ablative Generator Token beside your ship. This Upgrade may only be purchased for the U.S.S. Voyager

Borg Assimilation Tubules [Borg]
ACTION: Disable this card and discard 1 Drone Token to target a ship at Range 1-2. Steal 1 [Crew], [Tech], or [Weapon] Upgrade from the target ship, even if it exceeds your ship’s restrictions. Place a Disabled Token on the assimilated Upgrade. You cannot steal a Species 8472 Upgrade with this Action.

Are Squadron Upgrades capable of being stolen and equipped to a ship, assuming done so using a stealing ability that does not specific a type of Upgrade (Such as Superior Intellect, which simply states " Steal 1 faceup Upgrade Card of your choice")?

If ship A uses a card that allows it to steal, can ship B counter with a 'prevent discard' type card? I.e. Beverly crusher.

Yes you may steal the squadron upgrade cards, but note that you may only steal from opposing ships and as such could not target a friendly ship.

No, you could not counter a card being stolen with a 'prevent discard' type card. The card is being stolen and is being discarded by the new owner for being incorrectly deployed.
